MUTUAL NON-DISCLOSURE AGREEMENT (NDA)

This Mutual Non-Disclosure Agreement ("Agreement") is entered into on 2026-09-28, by and between:

Party 1: Apex Innovations LLC (a Delaware Limited Liability Company)
and
Party 2: Sarah Jenkins (an independent contractor)

(Collectively referred to as the "Parties").

1. PURPOSE
The Parties wish to explore a business opportunity concerning: evaluating freelance frontend architecture and development services ("Purpose"), in connection with which either Party may disclose proprietary or confidential technical, business, or financial information to the other.

2. CONFIDENTIAL INFORMATION
"Confidential Information" refers to all non-public information disclosed by one Party ("Disclosing Party") to the other Party ("Receiving Party"), whether orally, visually, or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

3. EXCLUSIONS FROM CONFIDENTIALITY
Confidential Information does not include information that:
(a) is or becomes publicly known through no breach of this Agreement by the Receiving Party;
(b) was already known to the Receiving Party prior to disclosure without confidentiality obligations;
(c) is independently developed by the Receiving Party without reference to or use of the Disclosing Party's Confidential Information; or
(d) is rightfully received from a third party without restriction on disclosure.

4. OBLIGATIONS OF RECEIVING PARTY
The Receiving Party agrees to:
(a) protect the Disclosing Party's Confidential Information with the same degree of care it uses to protect its own confidential information of like kind (and at least reasonable care);
(b) not disclose Confidential Information to any third party without prior written consent; and
(c) use the Confidential Information solely for the Purpose described herein.

5. TERM AND TERMINATION
This Agreement and the confidentiality obligations herein shall remain in effect for a period of 2 (2 years) from the Effective Date, after which the Receiving Party's obligations under this Agreement shall expire.

6. GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State/Jurisdiction of California, without regard to its conflict of law principles.

7. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior agreements, oral or written.
